These Terms and Conditions govern all business-to-business (B2B) transactions between Rasoi Food (“we,” “us,” or “our”) and our wholesale partners, distributors, stockists, and retailers (“you” or “your”). By placing an order with us, you agree to these Terms in full.
1. Eligibility and Resgistration
- To engage in wholesale or B2B purchases, you must be a registered business entity with a valid Company House number (if applicable) and have appropriate licenses to distribute or resell food products.
- We reserve the right to verify your credentials and decline applications at our discretion.
2. Ordering and Payment
- Minimum Order Value (MOV): A minimum order value will apply to all wholesale transactions. This threshold may vary based on region or distributor tier.
- Ordering Process: Orders can be placed via our B2B portal, email, or assigned sales representative. Verbal orders are not accepted.
- Payment Terms: Payment must be made in accordance with the agreed credit terms (e.g., advance, Net 7, Net 15, etc.). Late payments will incur interest at 2% per month.
- Accepted Methods: We accept payments via BACS, cheque (subject to clearance), and authorized digital wallets.
3. Pricing and Discounts
- Wholesale Pricing: Pricing provided is exclusive to B2B partners and may vary based on order volume, region, and partnership tier.
- Promotions: Any discounts, rebates, or promotional pricing are time-limited and subject to change without prior notice.
- Price Changes: We reserve the right to update prices due to fluctuations in raw material costs, taxes, or other factors. Updated prices will apply to all future orders.

- Shipping Charges: Unless otherwise agreed, shipping is chargeable and will be reflected in your invoice.
- Risk of Loss: The risk of loss transfers to you once the goods are dispatched from our warehouse.
5. Confidentiality
- All pricing, supply terms, and operational discussions are confidential and must not be disclosed to third parties without written permission.
6. Termination
- Either party may terminate the business relationship with 30 days’ written notice.

Disclaimer
Rasoi Foods (hereinafter referred to as “we,” “our,” or “the Company”) engages in the production, packaging, marketing, and wholesale distribution of Indian food products. By engaging in any form of business transaction with us, including but not limited to placing orders, receiving deliveries, and reselling our products, you (the “Buyer” or “Distributor”) acknowledge and agree to the following terms and conditions:
1. Product Information & Specifications
All product descriptions, ingredients, shelf life, storage instructions, and nutritional information provided by Rasoi Food are accurate to the best of our knowledge. However, actual product specifications may vary due to updates or supplier changes. We are not liable for any discrepancies caused by third-party repackaging, mislabeling, or unauthorized alterations.
2. Allergens & Food Safety
While we maintain strict hygiene and safety standards during production and packaging, some products may contain allergens such as nuts, gluten, dairy, or soy. It is the responsibility of the Buyer to ensure product suitability for their end users and to communicate allergen warnings effectively. Rasoi Food is not liable for any allergic reactions or health issues arising from improper use, storage, or miscommunication.
3. Wholesale & Distribution
Products purchased from Rasoi Food for B2B or wholesale purposes are intended strictly for resale, distribution, or commercial use. Repackaging, relabeling, or rebranding of Pasand brand products without prior written consent is strictly prohibited. Unauthorized use of the Pasand brand name, trademarks, logos, or packaging design will result in legal action.
4. Pricing & Availability
All pricing, offers, and stock availability are subject to change without prior notice. We reserve the right to modify, discontinue, or limit the supply of any product at our discretion. Bulk or custom pricing is valid only at the time of quotation and may be subject to change based on raw material cost fluctuations or logistics challenges.
5. Orders, Delivery & Lead Times
All orders are processed based on mutual agreement and availability. Estimated delivery times are indicative and not binding. We are not liable for delays caused by third-party logistics, force majeure, or customs clearance issues. Once dispatched, risk and responsibility transfer to the Buyer, unless otherwise specified in the contract.
6. Returns & Complaints
All return requests or complaints related to product quality, packaging, or quantity must be reported within 3 days of receipt, accompanied by clear photo/video evidence. Returns are accepted only for genuine defects or damages caused before delivery. Perishable products are non-returnable unless agreed upon in advance.
7. Territorial Rights & Exclusivity
Exclusive distribution rights or territory-based agreements must be explicitly documented and approved in writing by Rasoi Food. No implied or verbal agreement shall be recognized. Any breach of exclusivity clauses may result in immediate termination of the business relationship.
8. Legal Compliance
Buyers and distributors are solely responsible for ensuring that the resale and distribution of Pasand brand products comply with local, regional, and international food safety, labelling, and trade regulations. Rasoi Food disclaims any liability arising from the misuse or misrepresentation of our products outside our control.
9. Limitation of Liability
To the maximum extent permitted by law, Rasoi Food shall not be liable for any direct, indirect, incidental, or consequential damages arising out of the use or resale of our products, including but not limited to loss of profits, business interruptions, or reputational damage.
10. Jurisdiction
All disputes arising out of or in connection with business dealings with Rasoi Food shall be subject to the exclusive jurisdiction of the courts of the UK & Europe.
